In order to try to get first-mover status during the unconventional oil and gas boom, several companies took on large tracts of speculative land in hopes of paying them off later on. Now, some of these companies are selling off large portions of those lands in order to bring their balance sheets in order. Chesapeake Energy�has been one of the most visible companies doing this, but it looks as though Apache (NYSE: APA  ) will be following suit. The company intends to unload about $4 billion in assets to reduce its debt load and return some value to investors.

Tyson Enters Meaty Brawl with Bid for Hillshire Brands

Tyson makes rival $6.2 billion bid for Hillshire Brands Toby Talbot/AP NEW YORK -- Hillshire Brands is at the center of a barnyard brawl. Tyson Foods, the largest U.S. meat processor, has made a $6.2 billion offer for the maker Jimmy Dean sausages and Ball Park hot dogs, topping a bid made two days earlier by rival poultry producer Pilgrim's Pride. Based in Greeley, Colorado, Pilgrim's Pride is owned by Brazilian meat giant JBS. The takeover bids for Hillshire Brands (HSH) by the two major meat processors are being driven by the desirability of brand-name processed products like Jimmy Dean breakfast sandwiches. The convenience foods are more profitable than fresh meat, such as chicken breasts, where there isn't as much wiggle room to pad prices. Selling more types of products also would give the companies a buffer from volatile price swings of fresh meat. When beef prices rise and shoppers turn to other meats, the companies can sell more chicken or bacon, for example. While both Tyson (TSN) and Pilgrim's (PPC) sell some prepared products like frozen fried chicken pieces, their main business has been as suppliers of fresh meat for supermarkets and restaurant chains. Both offers are contingent on Hillshire abandoning its plan to acquire Pinnacle Foods (PF), which makes Birds Eye frozen vegetables and Wish-Bone salad dressings. Hillshire had been trying to diversify its own portfolio by moving into other areas of the supermarket with the $4.23 billion acquisition. But some investors questioned whether combining with Pinnacle made sense, given the sharp differences in product categories and the outdated image of some Pinnacle brands, such as Hungry Man frozen dinners. Hillshire said earlier it strongly believes in its deal with Pinnacle Foods but would review Pilgrim's offer. In its latest statement Thursday, the Chicago-based company said it would review Tyson's offer as well and made no mention of its Pinnacle deal. Pilgrim's Pride said it is considering its options and will "update the markets in due course," making no mention of whether it planned to raise its offer. Pinnacle didn't respond to request for comment. Earlier this week, J.P. Morgan analyst Ken Goldman had noted other potential suitors for Hillshire could emerge, including Tyson and Cargill. Goldman suspended his ratings for Hillshire and Tyson on Thursday because of J.P. Morgan's role in the deal on behalf of Tyson. A representative for Cargill declined to comment. Tyson and other meat producers are facing changing consumer tastes and volatile meat prices. In addition to helping profit margins, moving more heavily into branded products is seen as helping to diversify portfolios and creating more stability in financial results. The offer by Tyson could also be a defensive move to prevent rival JBS from becoming an even bigger player. Tyson's offer of $50 a share. That's $5 a share higher then Pilgrim's Pride's bid. Hillshire has about 124 million shares outstanding, according to SEC filings. Tyson values the deal at $6.8 billion, including debt. Tyson's offer is a 35 percent premium to Hillshire's closing price May 9, the day before Hillshire announced its bid for Pinnacle. Shares of The Hillshire Brands jumped $7.69, or 17 percent, to $52.50, above the latest offer price. Meanwhile, Tyson Foods shares rose nearly 8 percent to $43.85. Shares of Pilgrim's Pride fell 1 percent to $25.01 and shares of Pinnacle Foods rose 1 percent to $31.80.

The S&P 500 dropped 0.3% to 1,683.42 today, putting a halt to its seven-day winning streak, while the Dow Jones Industrials fell 0.2% to 15,300.64. The Nasdaq Composite declined 0.2% to 3,715.97.

The stock market was doing pretty well today until, even rising briefly, until falling. One possible reason: Back and forth on Syria, which indicated that the Russian plan won’t be as easy to implement as many hoped. For instance, Syrian President Bashar al-Assad has demanded that the U.S. stop sending arms to the rebels and ends its threats before he’ll give up his chemical weapons.

Wells Fargo Advisors’ Paul Christopher isn’t surprised, but he also doesn’t think the back-and-forth matters much. He writes:

President Obama�� September 10 speech explained why a potential U.S. strike on Syria would be limited, but the president�� point is obscured by the tactical U.S. switch to negotiating a Russian proposal to send U.N. inspectors and technicians into Syria to secure the chemical weapons caches. In fact, the Senate has shelved a resolution on a military intervention in Syria, in order to allow President Obama to pursue diplomacy with Russia. We believe the Russian proposal is not feasible, but that the U.S. pause to engage Moscow diplomatically demonstrates hesitation to strike Syria militarily. We therefore think that long-term investors should focus on our constructive outlook for the remainder of this year and beyond.

    The price of renting a car -- often the American traveler's transportation of choice -- has risen substantially in recent times. Ponying Up in Portland An August survey by CheapCarRental.net found that the average daily rate for the cheapest available rental car in many cities was much higher on a year-over-year basis. For example, the most expensive city was Portland, Oregon, with a $111 rate, while in the car manufacturing capital of the country, Detroit, it stood at $90, and in Denver it was $88. Rewinding one year, CheapCarRental's survey had a rate of $86 for Portland, $55 for Detroit and $65 for Denver. The blame can be laid at the feet of the major rental companies. Avis Budget Group (CAR), for example, in its most recently reported quarter, lifted its U.S. rates by around 4 percent, excluding its budget brand Payless and short-term rental subsidiary Zipcar. Such raises seem to be a habit for the company these days -- in the previous quarter, it advanced its U.S. pricing by 2 percent. Given that, it's no surprise that the company's revenue advanced 10 percent on a year-over-year basis to $2.2 billion in that most recent quarter, while net profit grew a robust 28 percent to $74 million. The other big publicly traded auto lender, Hertz Global Holdings (HTZ), saw a nearly 20 percent pop in revenue in its fiscal 2013, with top line rising to $10.8 billion. Just one month after rolling out the Diet Coke Frost Cherry Slurpee, the frozen concoction has been removed from 7-Eleven stores nationally, Coca-Cola and 7-Eleven confirmed in a joint statement. The problem: It didn't freeze right.

"A significant number of stores experienced dispensing quality issues involving the product freezing consistency," the joint statement says. Never mind that last month, Coca-Cola executives boasted about cracking the code after 31 years on how to blend the world's best-selling diet soft drink into a frozen beverage.

It's back to the drawing board.

The Securities and Exchange Commission passed significant amendments to the rules that govern money market mutual funds by a 3-2 vote during Wednesday’s open meeting.

Under the new rules, a floating net asset value (NAV) will be required for institutional prime money market funds, which allows the daily share prices of these funds to fluctuate along with changes in the market-based value of fund assets. Nongovernment money market fund boards will also be provided with new tools — liquidity fees and redemption gates — to address runs. 

It’s a “strong reform package that significantly mitigates the risks of a run in money market funds and that will limit further contagion should a run occur,” SEC Chairwoman Mary Jo White said.

    Caterpillar's quarterly profit surged to $1 billion, or $1.54 per share, versus a year-ago profit of $697 million, or $1.04 per share. Its revenue declined to $14.40 billion from $16.08 billion. However, analysts were expecting a profit of $1.27 per share on sales of $13.41 billion. Caterpillar announced its plans to buy back $10 billion in common stock by the end of 2018.

The story
As has been in play since late last year, both Sprint and DISH want Clearwire for its valuable spectrum. But, ever since DISH began offering superior bids, which have now reached $4.40 per share (more than a dollar above Sprint's bid), minority holders of Clearwire stock have shown strong support for the larger bid.
